Rajeswari Foundations Ltd has informed BSE that the members at the 13th Annual General Meeting (AGM) of the Company held on September 07, 2006, inter alia, have accorded to the following:

Rajeswari Foundations Ltd has informed BSE that the members at the Extraordinary General Meeting (EGM) of the Company held on May 08, 2006, inter alia, have accorded to the following:

1. Increased in the Authorized Capital of the Company from Rs 5,00,00,000/- to Rs 10,00,00,000/- by further creation of 50,00,000 Equity Shares of Rs 10/- each aggregating to Rs 5,00,00,000/- ranking pari passu with the existing Equity Shares of the Company. Now the Authorized Capital of the Company is Rs 10,00,00,000/- divided into 1,00,00,000 Equity Shares of Rs 10/- each and Consequential Alteration in Memorandum & Articles of Association of the Company.

2. Authority to the Board to issue, offer and allot 20,00,000 Warrants at a price of Rs 25.00/- per share on preferential basis for cash to the proposed allotees.

These warrants are convertible into equity shares at the ratio of one equity shares for each warrant over a time of 18 months in two or more trenches.

Rajeswari Foundations chalks out Rs 900 mn expansion

Rajeswari Foundations Ltd has announced that the Company is propose to setting up of modern Township Project with all the amenities of standards of quality and style quality and style mainly for the purpose of catering to the requirement of Software Professionals and NRI's at Singaperumal Koil (Near Mahindra City). Mahindra City is spread over 1400 acres and the major software giants alone would house of 5000 employees.

The Company has plans to develop well defined modern "Township" with high class infrastructure and high quality of construction with adequate green spaces. The Township is conceived as an integrated campus style development with adequate support amenities like shopping Malls, Multiplexes, Entertainment Park and swimming pools etc. The project would come up with total built up area of 7.20 lakh sq. ft in two phases which consist of 3.60 lakh Sq.Ft. in each phase (built up area per bungalow to an extent of 1500 sq.ft for 15 bungalows in an acre).

The proposed project would include power from the state grid with 100% on site power backup, and state-of-art telecommunications facilities, availability of Scorpios drinking water and easily accessible with the transportation needs.

The proposed project cost is approximately Rs 600 million. The Company expect to complete this project with in 18 months and expect to generate income around Rs 900 million.
